Does anyone have a sample mem & arts for an SPV for managing SEIS investment for films and documentaries?

We are setting up an Ltd company as an SPV to manage investment under an SEIS scheme. Does anyone have or know where to find a sample memorandum and articles of association for film and documentary productions?

You have of course gone to http://www.hmrc.gov.uk/seedeis/ #https://www.gov.uk/starting-up-a-business and other related sites?
I think the government still run the scheme that gives you an hour consultation with an expert before you set up your business.
It is a good starting point.

When you buy a company off the shelf it comes with standard set of Mem & Arts. If you want something more specialised then I would take specific advice. It may be expensive, but might save you trouble later. You can do an all-in capped deal on your accountancy work with one of the media accountancy companies like Shipleys and they will probably include the company set-up, M&A etc.

Alternatively, you could track down the names of film SPVs and check out their Mem & Arts via the companies house website - www.companieshouse.gov.uk. It only costs a £1 per document

I used to be in Finance. You would be crazy to do this on the fly - if you don't know the rules inside out, it's far too easy to make a mistake, (not so much with the basic company documents, which will be default until/unless changed, but everything else). You need to talk to professionals for whom this is their day job, and I'm sure that some players out there can deliver you a packaged and Professional Indemnity covered solution.
